Vibe Spot Terms of Service, Privacy Notice, and Community Rules

These Terms of Service, Privacy Notice, and Community Rules ("Agreement") govern your access to and use of Vibe Spot and any related website, app, page, feature, content, communication channel, or service operated by Vibe Spot (collectively, the "Service").

By accessing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

1. Adults-Only Service

The Service is intended only for adults who are at least 18 years old.

By creating an account or using the Service, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into this Agreement; and
• you are not prohibited from using the Service under applicable law.

We may use age-gating, account checks, payment checks, identity verification, content review, report review, or other measures in our discretion to help enforce this rule. We do not guarantee that these measures will identify every underage user or every policy violation.

If we believe a user is under 18, has misrepresented age or identity, or presents a safety or legal risk, we may suspend, restrict, or permanently terminate the account and remove related content.

2. Nature of the Service

Vibe Spot is a user-generated social platform. The Service may contain adult-oriented, NSFW, explicit, graphic, offensive, or otherwise sensitive material intended only for adults.

By using the Service, you acknowledge and agree that:

• you may encounter content that is sexual, graphic, explicit, offensive, or otherwise unsuitable for minors;
• you access any such content voluntarily and at your own discretion;
• we do not endorse user content;
• we do not guarantee that user content is accurate, lawful, consensual, authentic, or safe; and
• we do not guarantee that we will review, pre-screen, or remove every piece of content or every user interaction.

We may, but are not required to, review, monitor, label, blur, age-gate, restrict, preserve, disable access to, or remove content or accounts at our discretion.

3. Accounts

You are responsible for your account credentials and for activity conducted through your account.

You agree to:

• provide accurate and current information;
• keep your login credentials secure;
• not transfer or sell your account without our written permission; and
• notify us promptly if you suspect unauthorized access.

We may suspend, restrict, or terminate accounts for violations of this Agreement, repeated complaints, abusive conduct, suspected fraud, legal risk, safety risk, or any other lawful reason.

4. User Content

"User Content" means any text, profile information, username, image, video, audio, stream, message, comment, post, link, metadata, or other material you upload, submit, publish, transmit, or otherwise make available through the Service.

You retain ownership of your User Content, subject to the rights you grant in this Agreement.

By posting or submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, process, format, adapt for technical purposes, display, distribute, moderate, review, preserve, and otherwise use that User Content as reasonably necessary to operate, secure, improve, enforce, and provide the Service.

You represent and warrant that:

• you own the User Content or have all necessary rights and permissions to post it;
• your User Content does not violate any law or any third-party right, including copyright, trademark, privacy, publicity, or contract rights;
• any person depicted in your User Content is at least 18 years old;
• any explicit, intimate, or sexual content was created and shared with lawful, informed, and voluntary consent; and
• your User Content is not deceptive, exploitative, non-consensual, unlawful, or fraudulent.

You are solely responsible for your User Content and the consequences of posting or sharing it.

5. Documentation for Explicit Content

If you upload or share explicit or intimate content, you must maintain records reasonably sufficient to verify that every person depicted was an adult at the time of creation and that the content was created and shared with lawful consent.

We may request additional information or documentation where permitted by law to investigate reports, verify compliance, protect users, or reduce legal risk. Failure to provide requested information may result in content removal, account restriction, or termination.

6. Prohibited Content and Conduct

You may not use the Service to post, upload, request, promote, organize, facilitate, advertise, transmit, or distribute:

• any content involving a minor, anyone under 18, or anyone who appears to be under 18 in a sexualized or explicit context;
• child sexual abuse material or any exploitative content involving minors;
• non-consensual intimate imagery;
• revenge porn;
• sexual extortion, coercion, threats, blackmail, or exploitation;
• deepfake or manipulated explicit content involving a real person without consent;
• content depicting or promoting rape, sexual assault, sexual violence, coercive sexual conduct, intoxicated or incapacitated sexual conduct, or lack of consent;
• prostitution, escorting, or unlawful sexual services;
• content or conduct that promotes, facilitates, or attempts to arrange commercial sexual activity where unlawful;
• content or conduct that promotes or facilitates sex trafficking;
• content that violates United States law, Oklahoma law, or other applicable law;
• malware, phishing, spam, scams, impersonation, or unauthorized-access attempts;
• harassment, threats, stalking, doxxing, targeted abuse, or blackmail;
• content that infringes copyright, privacy, publicity, trademark, or other legal rights; or
• any attempt to evade moderation, bans, enforcement actions, or safety systems.

You also may not use private messages or other Service features to pressure, manipulate, or coerce another person into sending intimate content or engaging in unlawful conduct.

Zero-tolerance rule: Any violation of this section may result in immediate and permanent account termination, removal of related content, preservation of evidence, and reporting to law enforcement, rightsholders, trust-and-safety partners, payment providers, hosting providers, app platforms, or other appropriate third parties where we believe it is required or appropriate.

7. Messaging, Privacy Expectations, and Safety Reports

The Service may include messaging or other private or semi-private features. You understand that no online system is perfectly private or secure.

We may review, preserve, or disclose messages, attachments, account information, logs, and related data where we believe doing so is appropriate to:

• investigate abuse, fraud, harassment, copyright complaints, or other violations;
• respond to user reports;
• protect users, the public, or the Service;
• comply with legal obligations or valid legal requests; or
• preserve evidence for safety or enforcement purposes.

Do not use the Service to send unwanted explicit content, threats, coercive sexual requests, blackmail, or unlawful offers.

8. No Promise of Pre-Screening, Background Checks, or Endorsement

We do not promise to pre-screen all content, verify all users, conduct background checks, or detect every violation.

Verification badges, labels, creator status, or similar indicators, if offered, do not constitute endorsement, identity guarantees, legality guarantees, consent guarantees, or safety guarantees.

9. Moderation and Enforcement

We reserve the right, but not the obligation, to investigate, review, moderate, restrict, remove, disable access to, preserve, or refuse any content, account, username, profile, message, or activity at our discretion.

Private, friends-only, limited-audience, and unlisted content is still subject to this Agreement and our Community Rules. Choosing a private or restricted visibility setting does not exempt content from moderation. We may review such content when it is reported, flagged by our safety systems, or when we reasonably believe review is necessary to investigate abuse, enforce our rules, protect users, or comply with applicable law.

We may take action with or without prior notice where we believe it is appropriate.

Possible enforcement actions include:

• content removal;
• warnings;
• feature limits;
• search or visibility limits;
• temporary suspension;
• permanent termination;
• account hold pending review;
• referral to law enforcement or other authorities; and
• cooperation with legal requests, copyright processes, and safety investigations.

We may preserve records, reports, account details, logs, and relevant content for safety, legal compliance, dispute resolution, fraud prevention, copyright handling, and enforcement.

10. Intellectual Property

The Service, excluding User Content, including our software, branding, logos, site design, graphics, text, and features, is owned by us or our licensors and is protected by applicable intellectual-property laws.

You may not copy, reproduce, distribute, modify, scrape, reverse engineer, create derivative works from, sell, or exploit our content or software except as expressly permitted by us in writing or by applicable law.

11. Copyright Complaints and Repeat Infringer Policy

We respect intellectual-property rights and may remove or disable access to allegedly infringing material.

If you believe content on the Service infringes your copyright, you may submit a copyright complaint to our designated DMCA agent:

12. Information We Collect

We may collect the following categories of information:

• account information, such as username, email address, password hash, profile information, and settings;
• content and communications you submit, including posts, uploads, comments, reports, and messages;
• transaction or verification information, if those features exist;
• device, browser, network, and log information, such as IP address, browser type, operating system, timestamps, device identifiers, referral URLs, and usage data;
• cookie, local storage, and similar technology data; and
• moderation, security, and abuse-prevention information.

13. How We Use Information

We may use information to:

• provide, maintain, and improve the Service;
• create and manage accounts;
• enable social, messaging, media, voice, streaming, and community features;
• personalize user experience;
• moderate content and enforce this Agreement;
• investigate reports, abuse, fraud, harassment, infringement, or illegal activity;
• communicate with you about your account, support, updates, security, or enforcement;
• comply with legal obligations; and
• protect users, our rights, and the Service.

14. How We Disclose Information

We may disclose information:

• to vendors, contractors, hosting providers, moderation vendors, analytics providers, payment processors, and security providers that help us operate the Service;
• to affiliates or successors in connection with a merger, financing, acquisition, sale, or transfer of assets;
• to law enforcement, regulators, courts, rightsholders, trust-and-safety organizations, or other third parties where required by law, valid legal process, or where we believe disclosure is appropriate to protect rights, safety, or the Service;
• to app stores, payment providers, hosting providers, and abuse-prevention partners in connection with safety, moderation, fraud prevention, or compliance; and
• with your consent or at your direction.

We may also aggregate or de-identify information and use it for analytics, operations, and improvement purposes where permitted by law.

15. Cookies and Similar Technologies

We may use cookies, local storage, pixels, device identifiers, and similar technologies to keep users logged in, remember settings, measure usage, improve performance, support safety functions, and help detect fraud or abuse.

You may be able to control some of these technologies through your browser or device settings, but disabling them may affect Service functionality.

16. Data Retention

We may retain information for as long as reasonably necessary to provide the Service, comply with law, resolve disputes, prevent fraud, investigate abuse, preserve evidence, enforce this Agreement, and protect users and the Service.

Deleting an account may not immediately or completely remove all copies of content or records from our systems, logs, backups, abuse databases, moderation files, or legal retention archives.

Content shared with other users may remain visible to them and copies may continue to exist outside our control.

17. User Discretion and Content Visibility

Anything you post, send, stream, or upload may be copied, saved, screenshotted, recorded, or redistributed by other users or third parties.

We cannot guarantee that content shared on the Service will remain private or inaccessible once another person has seen or received it.

Do not share content you would not be comfortable risking exposure of.

18. Third-Party Services

The Service may contain links to or integrations with third-party sites, apps, payment services, storage providers, hosting services, or other tools. We are not responsible for third-party content, policies, privacy practices, security, or operations.

Your use of third-party services is at your own risk.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND SECURITY.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
• CONTENT WILL BE ACCURATE, LAWFUL, AUTHENTIC, OR SAFE;
• USERS WILL ACT LAWFULLY, CONSENSUALLY, OR IN GOOD FAITH; OR
• ANY CONTENT OR ACCOUNT WILL ALWAYS BE AVAILABLE.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUCCESSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, USER CONTENT, USER INTERACTIONS, MODERATION DECISIONS, ACCOUNT ACTIONS, OR THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY.

21. Indemnification

You agree to defend, indemnify, and hold harmless us and our owners, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and successors from and against any claims, demands, actions, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Service;
• your User Content;
• your interactions with other users;
• your violation of this Agreement; or
• your violation of any law or third-party right.

22. Governing Law and Venue

This Agreement is governed by the laws of the State of Oklahoma and applicable United States law, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute arising out of or relating to this Agreement or the Service shall be brought exclusively in the state or federal courts located in Oklahoma, and you consent to personal jurisdiction and venue there.

23. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated version with a revised "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Agreement.

24. Severability

If any provision of this Agreement is held unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
